Acceptance of Terms

By accessing and using the website and services provided by datanovaehubix AG ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and datanovaehubix AG, a company registered in Austria with registration number FN852147a, located at Sportplatzstraße 100, 1049 Vienna, Austria.

Description of Services

datanovaehubix provides enterprise collaboration analytics platforms and related services including:

  • Real-time analytics dashboards and reporting tools
  • Collaboration intelligence and AI-powered insights
  • Custom platform development and integration services
  • Implementation support and ongoing maintenance
  • Consultation and advisory services for enterprise analytics

User Obligations

When using our website and services, you agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful purposes and in accordance with these Terms
  • Respect the intellectual property rights of datanovaehubix and third parties

Payment Terms

  • All fees are quoted in Euros (EUR) unless otherwise specified
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges as permitted by Austrian law
  • We reserve the right to suspend services for overdue accounts
  • All prices are exclusive of applicable taxes unless otherwise stated

Service Availability

While we strive to maintain high service availability, we do not guarantee uninterrupted access to our services. We may temporarily suspend services for maintenance, updates, or other operational requirements. We will provide reasonable notice for planned maintenance when possible.

Limitation of Liability

To the maximum extent permitted by Austrian law, datanovaehubix's liability for any claims arising from or related to these Terms or our services is limited as follows:

  • Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, data, business opportunities, or business interruption
  • We shall not be liable for damages caused by third-party services or systems integrated with our platform
  • Our liability for data loss is limited to our efforts to restore data from our most recent backup

These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, or otherwise.

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties regarding the accuracy, completeness, or reliability of our services
  • Warranties that our services will be uninterrupted, error-free, or secure
  • Warranties regarding the results or outcomes achievable through our services

Indemnification

You agree to indemnify and hold harmless datanovaehubix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms or any applicable laws
  • Your misuse of our services or violation of third-party rights
  • Any content or data you provide that infringes intellectual property rights
  • Your negligent or wrongful conduct in connection with our services

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Vienna, Austria.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under EU consumer protection laws.

Termination

Either party may terminate the service relationship with appropriate notice as specified in the relevant service agreement. We may immediately terminate or suspend your access to our services if:

  • You breach any provision of these Terms
  • Your account becomes significantly overdue
  • We reasonably believe your use of our services poses a security risk
  • We are required to do so by law or regulatory authority
  • We decide to discontinue our services (with reasonable notice)

Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in data export during a transition period, subject to our data retention policies and any outstanding payment obligations.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms that is due to fire, flood, earthquake, pandemic, government action, war, terrorism, or other causes beyond the reasonable control of such party.

Modifications to Terms

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by posting updated Terms on our website and updating the "last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and datanovaehubix regarding the use of our services and supersede all prior or contemporaneous communications and proposals.
